Ralph Koch has been an Audit Partner at a Big Four public accounting firm where he worked with clients ranging from startups to Fortune 500 companies.
He has more than 25 years experience as a hands-on Chief Financial Officer in many industries including aerospace and defense (R&D, manufacturing), government contracting, life sciences, software, and financial services.
Ralph’s financial, accounting and management experience includes public and private equity raises and senior/mezzanine debt financings (>$1 billion), mergers & acquisitions, due diligence, financial forecasting, strategic planning, business valuations, ERP systems implementations, fraud investigations, internal control reviews, program and project cost reviews, costs claims and contractual disputes.
Selected Project Experience
- Provided assistance to international clients in developing entitlement claims and damages worth hundreds of millions of dollars, including construction, chemical manufacturers and oil & gas companies.
- Prepared and negotiated multiple multi-million dollar claims with US Government and Aerospace Original Equipment Manufacturers (OEMs) for scope changes, constructive scope changes, requests for equitable adjustments and other contract disputes.
- Prepared and negotiated approximately 15 incurred cost submissions with the Defense Contract Audit Agency which itemizes indirect cost pools, cost bases, calculates indirect cost rates and allocates costs to final cost objectives and provided basis for final cost claims.
- Prepared and/or reviewed hundreds of costs-to-complete, estimates-at-completion and percentage of completion calculations and models to support revenue recognition in conformity with Statement of Position 81-1, “Accounting for Performance of Construction-Type and Certain Production-Type Contracts”.
- Provided executive management over contracts departments responsible for negotiating dozens of contracts with US Government. Contract types included cost-plus fixed fee, fixed price, fixed rate, unit price, time and material.
- Managed multiple project teams assessing financial management systems and construction project controls at transit agencies across the country including three of the top four metropolitan transit agencies.
- Structured and negotiated several private equity recapitalizations.
- Structured and negotiated industrial revenue bond (IRB) financings plus tax incentives for two manufacturing plants.
- Structured and negotiated mezzanine debt financings including sale/leasebacks.
- As audit partner, provided audit, accounting and advisory services to clients in government contracting, high-technology, manufacturing, professional services, equipment leasing, and commercial real estate development and construction. Services included annual audits, public equity registrations, SEC filings, prospective financial statements, cost allocation reviews and internal control assessments.
